Documents required to prepare a contract
The list of documents and details required to draw up a contract under the simplified (USN) or general (OSNO) tax regime.
For sole proprietors (IP):
- Name;
- Sole proprietor details — full name, TIN (INN), OGRNIP registration number, registered address, servicing bank details (name, current account, BIC, correspondent account), and contact information (phone, email);
- Tax regime (which VAT rate the business operates under);
- EDI (electronic document interchange) — operator name and identifier;
- if there is no EDI — the physical address for sending original documents;
- Certificate of registration with the tax authority (INN);
- Certificate of state registration as a sole proprietor (EGRIP record sheet);
- Passport with residence registration (or a temporary residence certificate if there is no permanent registration);
- A document confirming ownership (or right of use) of the premises where the business operates, if any (EGRN extract, lease or sublease agreement, or another document);
*A licence, if the sole proprietor's activity is subject to licensing;
*A document confirming the authority of the sole proprietor's representative to sign documents (if applicable).
For limited liability companies (OOO):
- Name;
- Company details — legal name, TIN (INN), KPP, OGRN, legal and physical addresses, details of the company director, servicing bank details (name, current account, BIC, correspondent account), and contact information (phone, email);
- Tax regime (which VAT rate the business operates under);
- EDI (electronic document interchange) — operator name and identifier;
- if there is no EDI — the physical address for sending original documents;
- Articles of association;
- Minutes or a resolution confirming the director's authority;
- Director's passport (photo page + residence registration);
*A power of attorney granting the right to sign the contract, if it will be signed by someone other than the director; - Certificate of state registration (OGRN);
- Certificate of tax registration (INN);
*A licence, if the activity is subject to licensing; - A document confirming that the company is located at its legal and physical addresses, if it has an office (EGRN extract, lease or sublease agreement, or another document).
